These Terms of Service (“Terms”) outline the rules and guidelines for using our website and virtual assistant services. By accessing our website or using our services, you agree to these Terms. If you do not agree, please do not use our services.

These Terms comply with Canada’s legal requirements, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and Contract Law under the Canadian legal framework.

1. Overview of Our Services

Second Desk provides virtual assistant (VA) services tailored for real estate professionals, including but not limited to:

  • Administrative support
  • CRM and email management
  • MLS listing assistance
  • Transaction coordination
  • Appointment scheduling

These services are subject to availability and may be modified at our discretion.

2. Eligibility

To use our services, you must:

  • Be at least 18 years old.
  • Provide accurate and complete registration details.
  • Agree to comply with these Terms and applicable Canadian laws.

We reserve the right to refuse service to anyone for reasons including non-compliance with these Terms or misuse of our services.

3. Account Registration & Security

To access certain services, you may need to create an account. By doing so, you agree to:

  • Provide accurate and up-to-date information.
  • Keep your login credentials confidential.
  • Notify us immediately of unauthorized account access.

We are not liable for losses due to compromised accounts resulting from user negligence.

4. Payment Terms & Billing

A. Pricing & Subscription Plans

Second Desk offers monthly subscription plans for virtual assistant services:

  • Standard Plan: $2,500/month (90 hours of VA support).
  • Premium Plan: $3,600/month (160 hours of VA support).

Additional hours beyond the Standard Plan will be automatically upgraded to the Premium Plan.

B. Payment Methods & Security

We accept payments via credit card, PayPal, and other secure payment gateways. All transactions are processed through trusted third-party payment providers, ensuring compliance with Canadian financial regulations.

C. Automatic Billing & Renewals

  • Subscription payments are automatically billed every month.
  • You authorize Second Desk to charge your payment method on a recurring basis unless you cancel in accordance with our cancellation policy (Section 5).

D. Refund Policy

  • Refunds are not provided for unused hours or mid-billing cycle cancellations.
  • In exceptional cases, refunds may be issued at our discretion.

5. Cancellations & Termination

A. Client-Initiated Cancellation

You may cancel your subscription at any time by providing a 14-day written notice via email. Cancellation requests should be sent to contact@seconddesk.ca

  • If canceled before the next billing cycle, no further charges will be applied.
  • No refunds are issued for unused hours in the billing period.

B. Company-Initiated Termination

We reserve the right to suspend or terminate services if:

  • The client violates these Terms.
  • Payments are not received within 7 days of the due date.
  • There is no misuse or fraudulent activity.

Upon termination, any outstanding balance remains due and must be settled immediately.

6. Service Usage Guidelines

To ensure a smooth and professional working relationship, you agree:

  • To provide clear instructions and reasonable deadlines for assigned tasks.
  • Not to use our services for illegal, unethical, or fraudulent activities.
  • To treat Virtual Assistants with respect and professionalism.

We reserve the right to decline or discontinue services for tasks that violate our policies or Canadian law.

7. Confidentiality & Data Protection

We value your privacy and comply with Canada’s PIPEDA regulations regarding data protection.

  • All client information and business data shared with Second Desk and our Virtual Assistants are kept strictly confidential.
  • We do not sell, rent, or share your personal information with third parties without consent, except when required by law.
  • Our Virtual Assistants sign confidentiality agreements to ensure data security.

8. Liability & Disclaimer of Warranties

A. Service Limitations

While we strive to provide high-quality virtual assistance, we do not guarantee:

  • Uninterrupted or error-free services.
  • That results will meet specific financial or business outcomes.

B. Limitation of Liability

To the fullest extent permitted by Canadian law, Second Desk is not liable for:

  • Losses due to incorrect, incomplete, or late task submissions.
  • Business interruptions, lost profits, or indirect damages.
  • Technical failures beyond our control (e.g., server downtime).

Our maximum liability is limited to the amount paid by the client in the previous billing month.

9. Indemnification

You agree to indemnify and hold Second Desk, its employees, and Virtual Assistants harmless from any claims, damages, or expenses arising from:

  • Your misuse of our services.
  • Violations of these Terms.
  • Any legal disputes related to your real estate transactions.

10. Intellectual Property Rights

All content on our Website (text, images, branding, software) is owned by Second Desk and is protected under Canadian copyright laws.

You may not:

  • Copy, distribute, or resell our materials without permission.
  • Use our branding in a misleading manner.

Violations of intellectual property rights may result in legal action.

11. Dispute Resolution & Governing Law

A. Governing Law

These Terms are governed by the laws of Canada, and any disputes will be handled in Canadian courts.

B. Dispute Resolution Process

If a dispute arises, both parties agree to:
Attempt to resolve the matter through negotiation.
If unresolved, participate in mediation or arbitration before taking legal action.

12. Updates to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our Website, and continued use of our services means you accept the updated Terms.
